If you own a corporation, an S-Corp or a multi-member LLC, your business owes the IRS a return of its own, separate from yours. Which return your business has to file
The form follows your structure, not your size. If you are not sure which one is yours, that alone is worth a first meeting.
- C corporation — Form 1120.
- S corporation — Form 1120-S, plus a Schedule K-1 for every shareholder.
- Partnership or multi-member LLC — Form 1065, plus a K-1 for every partner.
- Single-member LLC — no separate federal return by default; the activity flows onto your personal return.
Federal deadlines, by entity type
There are two dates a month apart, and the earlier one is the one owners miss.
- Form 1120-S and Form 1065 are due "the 15 day of the 3rd month after the end of its tax year". For calendar-year filers the IRS gives the date outright: "the due date is March 16, 2026 (March 15th falls on Sunday)" (Instructions for Form 1120-S, 2025; Instructions for Form 1065, 2025).
- Form 1120 comes a month later: "Generally, a corporation must file its income tax return by the 15th day of the 4th month after the end of its tax year." One exception matters — "a corporation with a fiscal tax year ending June 30 must file by the 15th day of the 3rd month" (Instructions for Form 1120, 2025).
Form 7004 buys time to file, not time to pay: "The automatic extension period for time to file is generally 6 months" (Instructions for Form 7004, Rev. December 2025). Anything you owe is still due on the original date, and interest runs from there.
Florida corporate income tax: who actually owes it
Florida has no personal income tax, so pass-through owners file nothing personal with the state. The entity is a different question. "For taxable years on or after 1/1/2022, the tax rate is 5.5%", and before you apply it you "subtract an exemption ($50,000 as of December 31, 2015) to arrive at Florida net income" (Florida Department of Revenue, Corporate Income Tax).
- Corporations, and LLCs classified as corporations, file Form F-1120.
- An S corporation files in Florida only if it pays federal income tax on its Form 1120-S.
- An LLC treated as a partnership files the information return F-1065 "if one or more of its owners is a corporation".
- "A single member LLC disregarded for federal and Florida income tax purposes is not required to file a separate Florida corporate income tax return."
With a December 31 year end, the F-1120 is due "on or before the 1st day of the 5th month following the close of the tax year" — May 1.
What we need from you
A corporate return is only as good as the books behind it. Bring, or send securely:
- Year-end profit and loss statement and balance sheet.
- Bank and credit card statements for the full year, reconciled.
- Payroll reports, and the W-2 and 1099 forms you issued.
- Prior-year federal and Florida returns.
- Asset purchases, vehicle records and loan documents.
- Your Sales Tax returns for the year, if you collect it.
If that list makes you uneasy, that is the real work, and it is not a January problem. Clients on monthly bookkeeping arrive at filing season with the return already half written, and the financial statements a bank or a landlord will ask for exist as a by-product. What a late return costs
For an S-Corp or a partnership the penalty has nothing to do with tax owed. It is charged per owner, per month: "$255 for each month or part of a month (up to 12 months) the return is late... multiplied by the total number of persons who were shareholders" (Instructions for Form 1120-S, 2025), and the same figure per partner on Form 1065. Four shareholders, three months late, is $3,060 before any tax is calculated.
A C corporation is penalized on the money: "5% of the unpaid tax for each month or part of a month the return is late, up to a maximum of 25% of the unpaid tax", with a floor for a return "required to be filed in 2026 that is more than 60 days late" of "the smaller of the tax due or $525" (Instructions for Form 1120, 2025).
