Terms of Use
Draft — do not publish as is
This page is an unreviewed draft. It has not been read or approved by an attorney and it is not yet binding on anyone.
Every passage highlighted like {{PENDIENTE: example}}is a business or legal decision only the firm and its counsel can make — the governing law, whether disputes go to arbitration, the cap on liability, and so on. Those gaps are visible on purpose. A liability cap or an arbitration clause invented by a drafter who was guessing does not protect the firm; it just looks like it does.
Counsel should also confirm that nothing here conflicts with the firm's engagement letter, with the professional obligations of Enrolled Agents (IRS Circular 230) and CPAs, or with the Florida Board of Accountancy's rules on advertising and on limiting liability to clients.
These Terms of Use apply to this website, accountingmaxservices.com, operated by Accounting Max Services. By using the site you accept them. If you do not accept them, please do not use the site.
1. This site is information, not advice
Everything on this website — the service pages, the blog, the answers to frequent questions — is general information. It is not tax, accounting, legal or financial advice, and it is not written for your situation. Tax rules change, and they apply differently to different people. Do not act on anything you read here without talking to us or to another qualified professional about your own circumstances.
2. Using the site does not make you a client
Reading this site, sending the consultation request form, subscribing to the newsletter, calling us or emailing us does not by itself create a client relationship, and it does not put us to work on your behalf. We become your representative only when we have both agreed on the work in writing.
{{PENDIENTE: the exact name of the document that does create the relationship — engagement letter, services agreement — and a statement that it PREVAILS over these Terms wherever the two conflict}}
Because you are not yet a client, please do not send us confidential details before we have agreed to work together — see section 4.
3. Who may use the site
You may use this site if you are 18 or older and can enter into a binding agreement. You agree to use it only for lawful purposes, and not to: interfere with or overload the site or its servers; try to reach any part of it you have not been given access to; scrape, copy or reuse its content for a competing service; submit false information or someone else's personal information without their permission; or use the forms to send unsolicited commercial messages.
4. Information you send us
You are responsible for the accuracy of what you type into our forms, and for having the right to give us any information about another person.
Do not send sensitive documents through this site or by email.Neither is a secure channel. Do not put a Social Security number, an ITIN, a bank account number or a tax document into the consultation form. Use the form to tell us how to reach you; we will then tell you the secure way to send documents.
{{PENDIENTE: the secure channel the firm actually offers for documents — the portal's name and web address, or the alternative instruction. Without it, the paragraph above forbids something without offering a substitute}}
How we handle what you do send us is described in ourPrivacy Policy, which includes our Gramm-Leach-Bliley Act privacy notice and forms part of these Terms.
5. Phone calls, text messages and email
The consultation form has two separate, optional tick boxes: one for phone calls and one for text messages. They are unticked by default, ticking them is never a condition of getting a quote, and you can withdraw consent at any time — tell the person who calls you to stop, or reply STOP to any text message. Message and data rates may apply. If you leave both boxes unticked, we reply by email.
{{PENDIENTE: consent to electronic communications and electronic signatures (ESIGN Act / Florida UETA). If the firm sends notices, engagement letters or returns for signature electronically, this needs the consent clause and the procedure for withdrawing that consent}}
6. Content and trade marks
The text, images, layout and code of this site belong to Accounting Max Services or to its licensors, and are protected by copyright and trade mark law. You may read, print and share pages for your own personal or internal business use. You may not republish, sell or build a derivative service from them without our written permission.
{{PENDIENTE: licensed third-party content — stock photography, icons and typefaces, including the Adobe Typekit kit the site loads. Confirm the licences are in the firm's name and add whatever attribution each one requires}}
{{PENDIENTE: the agent and address for intellectual property complaints (DMCA), if the firm wants to offer that procedure}}
7. Links to other sites
This site may link to websites we do not run — the IRS, the Florida Department of Revenue, software providers and others. We link to them because they may be useful, not because we control or endorse them. We are not responsible for their content or their privacy practices, and once you follow a link, their terms apply, not ours.
8. Availability
We try to keep the site available and up to date, but we do not promise that it will always be reachable, error free, or current. We may change, suspend or withdraw any part of it at any time, including during tax season, and we may restrict access to anyone who breaks these Terms.
9. Payments
This website does not take payments. Fees for our services, and how they are billed, are agreed separately with each client.
{{PENDIENTE: if the firm ever takes payment through the site, or lets visitors book and pay for a consultation, this section needs prices, currency, taxes, the payment processor, and the refund, cancellation and no-show policy}}
10. No warranties
The site is provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties of any kind about the site or its content, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
This section is about the website. It does not limit anything we owe a client under a signed engagement, and it does not limit any professional duty we have as Enrolled Agents or CPAs.
11. Limitation of liability
{{PENDIENTE: the liability cap and its carve-outs, drafted by counsel. It has to say what the firm is and is not answerable for in relation to USE OF THIS WEBSITE, and it has to respect the limits Florida law and the Board of Accountancy rules place on a professional trying to limit liability to a client. A cap copied from another website protects nobody}}
12. Indemnification
{{PENDIENTE: decide with counsel whether to include a user indemnity at all, and how far it reaches. This is a business decision, not standard filler}}
13. Governing law and where disputes are heard
{{PENDIENTE: governing law and forum. For a firm based in Coral Springs the expected answer is Florida law and the courts of Broward County, but that is a decision for the firm and its counsel, not something to infer from a postal address — and it has to be checked against the equivalent clause in the engagement letter}}
{{PENDIENTE: dispute resolution — whether there is mandatory arbitration, a class action waiver, a small claims carve-out, and a deadline for bringing a claim. If arbitration is chosen, the institution and its rules have to be named; without that the clause does not work}}
14. Changes to these Terms
We may update these Terms. The version in force is the one published on this page, with the effective date shown at the top. If you keep using the site after a change, you accept the updated Terms.
15. If part of these Terms cannot be enforced
If a court finds any part of these Terms unenforceable, the rest stays in force. Our not enforcing a right on one occasion does not mean we give it up.
